hrefdata LLC ("hrefdata") provides octofact.com subject to the following Terms of Use. These terms govern your use of octofact.com and any other sites owned or operated by hrefdata LLC (collectively referred to as the "Site"). By accessing or using this site, you acknowledge that you have read, understood, and agree to be bound by these terms and all applicable laws and regulations. If you do not agree with any portion of these terms, you should not access or use this site.

Liability Cap. Notwithstanding anything to the contrary herein, hrefdata's total aggregate liability for all claims arising out of or related to these terms or your use of the site shall not exceed the total amount of fees actually paid by you to hrefdata in the twelve (12) month period preceding the event giving rise to the claim.

Governing Law

These Terms shall be governed by, interpreted under, and enforced in accordance with the laws of the State of Wyoming, United States, without regard to its principles of conflicts of law that would require the application of any other jurisdiction's laws.

Exclusive Jurisdiction. You agree that any legal action, suit, proceeding, or dispute arising out of or relating to these terms or your use of the site must be brought exclusively in the state courts or federal courts located within Laramie County, Wyoming. You hereby consent to the exclusive personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue, including any claim that such courts constitute an inconvenient forum.

Additional Terms

Severability. Should any court, arbitrator, or governmental authority deem any provision of these Terms invalid, illegal, or unenforceable, the enforceability of any other provision shall not be affected, and the remaining provisions shall remain in full force and effect, with the invalid provision deemed modified to the minimum extent necessary to render it enforceable.

Waiver. No failure or delay by hrefdata in exercising any right, power, or remedy under these Terms shall operate as a waiver. No single or partial exercise of any right or remedy shall preclude any other or further exercise. Any waiver must be expressly stated in writing and signed by an authorized representative of hrefdata to be effective.

Assignment. You may not transfer, assign, or delegate any of your rights or obligations under these Terms without our prior written consent. hrefdata reserves the unrestricted right to assign, transfer, or delegate these Terms and any associated rights or obligations to any third party, including in connection with a merger, acquisition, sale of assets, or transfer of all or substantially all of our assets.

Export Compliance and International Use. The data, software, and technology accessible through this Site may be subject to United States export controls and economic sanctions, including but not limited to the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce and the sanctions programs administered by the Office of Foreign Assets Control (OFAC). By accessing this Site, you acknowledge that you will comply with all applicable U.S. export laws and regulations. You represent and warrant that you are not (a) located in, a national or resident of, or under the control of persons or entities in any country or territory subject to comprehensive U.S. sanctions; (b) listed on any U.S. government denied or restricted persons list; or (c) otherwise prohibited from receiving U.S. origin data or technology. You agree not to re-export, re-transfer, or disclose Site data to any third party in violation of U.S. export laws.

Entire Agreement. These Terms, together with our Privacy Policy and any applicable subscription agreements, Master Service Agreements (MSAs), or service orders, constitute the complete and exclusive agreement between you and hrefdata regarding your use of the Site, superseding any prior or contemporaneous agreements, understandings, or representations, whether oral or written. In the event of any conflict between these Terms and a separately executed subscription agreement or Master Service Agreement, the terms of such agreement shall control.

Terms Updates and Modifications. We reserve the right to update, modify, or replace these Terms at our sole discretion at any time. The effective date of the Terms will be updated when changes are made. We will provide notice of material changes by posting the updated Terms on the Site and, where practicable, by email notification. Your continued access to or use of the Site after the effective date of revised Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue your use of the Site and terminate any applicable accounts.

Account Termination

We reserve the right, in our sole discretion and at any time, to suspend, restrict, or terminate your access to all or part of the Site. We will provide reasonable advance notice prior to termination, except in cases of suspected fraudulent activity, material breach of these Terms or any applicable subscription agreement, or other circumstances where immediate action is necessary to protect our rights or the safety of our platform. Upon termination, your right to access and use the Site will cease immediately, and you must cease all use of the Site and destroy any copies of materials in your possession.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms when such failure or delay results from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, epidemics or pandemics, internet or telecommunications outages, or failures of third-party services. The party affected by such event shall notify the other party promptly and use commercially reasonable efforts to mitigate the impact. Such notification and mitigation efforts shall not waive any force majeure defense.
